Terms of Service
These Terms of Service ("Terms") govern your access to and use of the software plugins ("Plugins") and website (the "Site") operated by AcademyVFX.com / VFX Partners, Inc ("we," "us," or "our").
By purchasing, downloading, installing, or using any Plugin, you agree to be bound by these Terms. If you do not agree to these Terms, do not purchase or use the Plugins.
You must be at least 18 years of age (or the age of majority in your jurisdiction) to purchase or use the Plugins.
1. License Grant (Not a Sale)
Upon purchase, you are granted a limited, non-exclusive, non-transferable license to install and use the Plugin on a single machine, subject to these Terms.
The Plugin is licensed, not sold. All right, title, and interest in and to the Plugin, including all intellectual property rights, remain with us.
You may not: - Copy, redistribute, resell, sublicense, rent, lease, or share the Plugin - Reverse engineer, decompile, disassemble, or attempt to derive the source code - Remove or alter copyright, trademark, or license notices
2. License Activation and Machine Locking
Each Plugin license is activated on and permanently associated with a specific machine identifier ("Machine ID"), which may be derived from hardware and/or operating system attributes.
Once activated, the license is non-transferable and may not be moved to another machine, regardless of operating system, hardware changes, system reinstallation, or platform migration.
You are responsible for selecting the machine on which the Plugin is activated and for maintaining that system. We are under no obligation to reset, transfer, or reissue licenses.
3. License Duration and Renewal
Paid licenses are valid for the length of time specified in the Plugin's website documentation at the time of purchase.
Upon expiration: - The Plugin will cease to function or revert to trial/watermarked mode - You may purchase a renewal to restore full functionality - Renewal extends the license for an additional license term
We are under no obligation to offer renewal pricing or continue selling any Plugin.
4. Trial Licenses
Trial licenses are provided at no cost for evaluation purposes and are subject to these Terms.
Trial licenses: - Are time-limited as specified in the Plugin's website documentation - May include visual watermarks or other limitations - Are activated on and locked to a single machine, same as paid licenses - May not be extended, reset, or reissued
Downloading or activating a trial constitutes acceptance of these Terms.
5. Permitted Use
You may use the Plugin: - In supported OFX-compatible host applications - For personal and commercial projects - On the single machine on which the license is activated
Use of the Plugin in a manner that exceeds the scope of the license granted is prohibited.
6. Compatibility and System Requirements
Plugins are developed and tested against specific host applications, versions, operating systems, hardware configurations, and drivers.
We do not guarantee: - Compatibility with all OFX hosts or host versions - Compatibility with future updates of host software or operating systems - Consistent or identical results across different systems or input media
Results may vary depending on system configuration, footage, and usage.
7. No Warranties
The Plugins are provided "as is" and "as available", without warranties of any kind.
To the maximum extent permitted by law, we disclaim all express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Plugins will be error-free, uninterrupted, or meet your specific requirements.
8. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: - Loss of profits or revenue - Loss of data or corrupted projects - Production delays or missed deadlines
This limitation applies even if we have been advised of the possibility of such damages.
Your sole and exclusive remedy for dissatisfaction with the Plugins is to stop using them.
9. Refunds
Refunds, if any, are governed by our Refund Policy, which is incorporated by reference into these Terms.
10. Support
Unless explicitly stated otherwise, Plugins are provided with no guaranteed support or service-level agreement.
Any support that may be offered is provided on a best-effort basis and may be limited in scope.
11. Updates, Changes, and Availability
We may update, modify, or discontinue any Plugin at any time, with or without notice.
We are not obligated to: - Maintain compatibility with future host software versions - Provide updates or new features - Continue offering any Plugin indefinitely
12. Termination
We reserve the right to terminate or revoke your license if you violate these Terms.
Upon termination, you must immediately cease use of the Plugin and delete all copies in your possession or control.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of California, USA, without regard to conflict of law principles.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Plugins and supersede all prior agreements, representations, and understandings.
